Terms of Service
These Terms of Service (the “Terms”) form the agreement between Meliora (“Meliora”, “we”, “us” or “our”) and the person or organization using or accessing ONE by Meliora (“ONE”, the “Platform”, the “App” or the “Services”). Please read these Terms carefully before using ONE.
ONE is provided as part of Meliora’s event-management and related client services. It is not designed as a public self-service marketplace in which any member of the public can independently purchase a subscription or use its features. Access is provided to authorized clients and users in connection with event-management services and arrangements made with Meliora.
By creating an account, accepting these Terms, or accessing or using ONE, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, you must not access or use the Platform.
1. Definitions and Interpretation
For these Terms: “Customer” or “Client” means the person, company, family, organization or other party receiving event-management services from Meliora and for whose event or events ONE is made available. “Host” means an authorized Customer-side user responsible for managing or coordinating an event through ONE. “Crew” means an authorized event staff or coordination user. “Vendor” means an authorized third-party service provider or supplier participating in an event. “Admin” means an authorized administrative user of the Platform. “User” means any authorized person using ONE. “Event Data” means information relating to an event, including guest, travel, accommodation, transport, coordination and operational information.
2. Nature and Scope of ONE
ONE is a digital coordination and event-management platform intended to support Meliora’s services. Depending on the event and the services arranged with the Customer, functionality may include event information management, guest management, travel and arrival information, hotel and accommodation coordination, transportation and driver coordination, Crew and Vendor coordination, notifications, communication tools, file or data processing, and AI-assisted features. Features may differ between events, users, roles, versions of the Platform and commercial arrangements made outside the Platform. Meliora does not promise that every feature will be available to every User or for every event.
3. Customer and Authorized Users
The Customer is responsible for determining which persons should receive access to its event information and for ensuring that those persons are authorized to receive it. A User must use ONE only for the event, responsibilities and purposes for which access has been provided. Access is role-based where the Platform supports role-based permissions. A Host, Crew member, Vendor or Admin may receive different information or capabilities. Users must not attempt to obtain information outside their authorized role.
4. Eligibility
ONE is intended for persons aged 18 years or older. By using ONE, you represent that you are legally capable of entering into these Terms and that your use is lawful in the jurisdiction from which you access the Platform. ONE is intended for use in connection with events and services generally operated or coordinated in India but not limited to it.
5. Account Registration and Information
Some functions require an account. You agree to provide information that is accurate, current and reasonably complete for the purpose for which it is requested. You must not knowingly create an account using a false identity, impersonate another person, or provide information intended to mislead Meliora or another authorized User. Ordinary guest and event-management use is not intended to require government-issued identity documents or unrelated personal documents. Certain account-registration workflows, including Crew registration, may request limited identity information where necessary for account creation, authorization or operational purposes.
6. Account Security and Authorized Access
You are expected to take reasonable measures to keep your account, authentication information and devices used to access ONE secure. You must not intentionally disclose credentials, authentication codes or other access mechanisms to an unauthorized person. If you believe that an account or device has been accessed without authorization, you should notify Meliora promptly. Meliora may restrict or secure an account when reasonably necessary to protect the Platform, the User, the Customer or event information.
7. Customer Responsibilities for Event Data
Customers and authorized Users are responsible for the accuracy, relevance and lawful use of information they enter or provide through ONE. The Customer is responsible for ensuring that it has an appropriate basis or authority to provide information concerning its guests, Crew, Vendors, travel arrangements, accommodation or other persons connected with an event. Users must not use ONE to collect, store or distribute information for a purpose unrelated to the event or service for which access was granted.
8. Guest Information
ONE may be used to organize guest names, contact information, arrival and departure details, travel arrangements, accommodation information, transportation requirements, event schedules and other information needed to coordinate an event. The Customer is responsible for determining what guest information is necessary and appropriate. Users must treat guest information as confidential event information and must not copy, export, disclose or use it outside authorized responsibilities.
9. Crew and Vendor Information
ONE may contain information concerning Crew members, Vendors, drivers and other operational participants. Such information may be used to allocate responsibilities, coordinate schedules, manage transportation, communicate event instructions and support event operations. Crew and Vendors must use information received through ONE only for legitimate event-related purposes.
10. Acceptable Use
You may use ONE only for lawful, genuine event-management and related purposes. Without limiting other restrictions, you must not:
- access another person's account or bypass role-based or technical controls;
- probe, scan, test or interfere with Platform security without written authorization;
- introduce malware, ransomware, malicious code or harmful material;
- scrape, bulk-copy or harvest event information except through expressly provided features;
- reverse engineer, decompile, disassemble or attempt to obtain source code;
- harass, threaten, defraud or impersonate another person;
- upload material infringing privacy or intellectual-property rights;
- disrupt service through excessive, automated or abusive requests;
- use guest/event information for unrelated marketing or commercial purposes without authorization;
- circumvent authentication, quotas or security measures; or
- use ONE in violation of applicable law or for fraudulent, unlawful or harmful purposes.
11. User and Customer Content
Information submitted by a Customer or User remains the responsibility of the person or organization providing it. As between Meliora and the Customer, the Customer retains its rights in event information and Customer-provided content, subject to the rights necessary for Meliora to provide, secure and support the Services. By providing content to ONE, you grant Meliora the limited rights reasonably necessary to host, store, process, transmit, display and otherwise use it to provide, secure, maintain and support the Services. This does not transfer ownership of Customer event information to Meliora.
12. Intellectual Property
ONE and its software, source code, architecture, interface, visual design, workflows, documentation, text, graphics, logos, trademarks, service names and other materials provided by Meliora are owned by or licensed to Meliora. Except for the limited access rights expressly granted by these Terms, no User receives ownership of the Platform. You must not copy, publish, sell, sublicense, modify, create derivative works from, reverse engineer or commercially exploit proprietary materials without permission.
13. Limited Right to Use
Subject to these Terms and your authorized status, Meliora grants a limited, revocable, non-exclusive, non-transferable right to access and use ONE solely for the event-management purposes for which access has been provided.
14. AI-Assisted Features
ONE may provide AI-assisted functions using third-party AI technology. AI features may assist with questions, classification, summaries, information retrieval, guest or event-related analysis and other supported workflows. AI output may be incomplete, inaccurate or unsuitable for a particular decision and must be reviewed where accuracy matters. AI is not a substitute for legal, medical, financial, safety or other professional advice.
15. WhatsApp and Communication Services
ONE may integrate with WhatsApp or other communication services for event-related communications, notifications, guest coordination or operational messaging. Delivery may depend on third-party systems, network availability, recipient settings, templates, account status and platform rules. Users and Customers must use communication functionality lawfully and respect applicable consent, privacy and platform requirements.
16. Third-Party Services and Infrastructure
ONE relies on third-party infrastructure and service providers, which may include Firebase/Google Cloud services, Google AI services, Render or other hosting infrastructure, WhatsApp/Meta services, email or notification providers and other technical providers. Third-party services may have their own terms, policies, availability limits and technical requirements.
17. Platform Updates and Changes
ONE is an evolving service. Meliora may add, modify, improve, replace, suspend or discontinue features, interfaces, integrations or technical components for security, legal, performance, infrastructure, third-party or business reasons.
18. Availability and Maintenance
Meliora will use reasonable efforts to keep the Platform operational, but does not guarantee uninterrupted or error-free availability. Service may be unavailable because of maintenance, upgrades, infrastructure issues, network failures, security events, third-party outages or circumstances beyond reasonable control.
19. No Guarantee of Event Outcome
ONE is a coordination and information-management tool. Use of ONE does not guarantee guest attendance, successful transportation, hotel availability, vendor or driver performance, message delivery, event timing, event quality, commercial results or any particular outcome. Information concerning third-party vendors, drivers, hotels or other providers does not by itself make Meliora the guarantor of their performance.
20. Commercial Arrangements; No In-App Purchases
ONE currently does not operate as a public subscription marketplace and does not provide in-app purchases, subscription checkout, online pricing checkout or in-app collection of Customer service fees. Commercial arrangements for Meliora's event-management services are made separately and outside the Platform. Access and features may depend on the event-management services arranged with Meliora.
21. Fees, Refunds and Cancellations Outside the Platform
Because ONE does not currently collect subscription or service payments inside the App, professional service fees, event-management charges, cancellations, refunds or commercial adjustments are governed by the applicable offline arrangement between Meliora and the Customer.
22. Confidentiality and Responsible Handling
Users may receive confidential information concerning guests, families, event schedules, travel, accommodation, commercial arrangements or operational plans. Users must use such information only for authorized event purposes and take reasonable measures to prevent unauthorized disclosure.
23. Security
Meliora maintains technical and organizational measures intended to protect the Platform and information processed through it. No internet-connected service can be guaranteed completely secure. Users must also maintain reasonable device and account security.
24. Security Incidents and Cyber Events
ONE may be affected by cyberattacks, malware, unauthorized access attempts, denial-of-service attacks, infrastructure failures, software vulnerabilities, credential compromise or incidents affecting third-party providers. Meliora will respond according to the circumstances and applicable law, but cannot guarantee that malicious actors or third parties will never compromise a system.
25. Suspension and Restriction of Access
Meliora may temporarily restrict or suspend access to investigate suspected misuse, protect event information, respond to a security incident, comply with law, enforce these Terms or protect the Platform and Users. Immediate action may be taken where delay could increase risk or harm.
26. Termination by User or Customer
A User may stop using ONE at any time, subject to separate event-management or commercial obligations. A Customer may request closure of access when its relevant event-management relationship or event requirements have concluded. Ending use does not automatically cancel separate offline arrangements unless those arrangements say otherwise.
27. Termination or Suspension by Meliora
Meliora may suspend or terminate access where a User materially breaches these Terms, uses the Platform unlawfully or abusively, creates a security or privacy risk, attempts unauthorized access, interferes with operations, or where continued access is no longer appropriate in connection with the applicable event-management relationship.
28. Effect of Termination
When access ends, the affected User must stop using the Platform and must not retain or continue using information obtained solely through unauthorized or expired access. Data may remain in backups, security logs, legal records or other systems for periods determined by applicable retention requirements and operational needs.
29. Data Export and Backups
Where supported, Customers may be able to obtain or export event information through Platform functionality or by contacting Meliora. Meliora also intends to provide a periodic event-data backup mechanism through which selected event information may be sent to the Host's designated email approximately every two or three hours. This is a planned/operational feature, not a guarantee that every record, attachment, change or email will be successfully delivered or recoverable.
30. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. MELIORA DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR AVAILABLE AT EVERY TIME OR FOR EVERY DEVICE. MELIORA DISCLAIMS WARRANTIES NOT EXPRESSLY STATED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND CONTINUOUS AVAILABILITY, except where such exclusion is prohibited by law.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELIORA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL LOSS arising from use of or inability to use ONE, including loss of profits, revenue, business opportunity, goodwill or anticipated savings. To the maximum extent permitted by law, Meliora's aggregate liability arising directly from these Terms or the Platform will be limited to the direct loss proven to have resulted from Meliora's breach, subject to non-excludable liability. Meliora is not responsible for losses caused solely by inaccurate information, unauthorized disclosure, account/device insecurity, third-party services or circumstances beyond reasonable control.
32. Indemnification
To the extent permitted by law, a Customer or User is responsible for defending and reimbursing Meliora for third-party claims, losses, liabilities and reasonable costs arising directly from that person's unlawful use of ONE, material breach of these Terms, unauthorized use or disclosure of information, infringement of third-party rights, or content supplied by that person. This does not shift liability that cannot lawfully be shifted.
33. Force Majeure
Meliora will not be responsible for delay or failure caused by circumstances beyond reasonable control, including natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, governmental action, power or telecommunications failures, internet outages, cyberattacks, denial-of-service attacks, infrastructure failures, third-party provider outages or labor disruptions.
34. Third-Party Links
ONE does not currently operate as a platform for third-party website links as a core feature. If an external link is introduced later, the external service will have its own terms and privacy practices. Meliora does not endorse or guarantee third-party websites merely because a link is provided.
35. Government and Legal Requests
Meliora does not voluntarily disclose Customer or User information merely because a person or organization requests it. Meliora may disclose information only where required or legally authorized under applicable law, such as a valid court order, lawful governmental demand, legally binding process or other recognized obligation. Disclosure will be limited to what Meliora is legally required or permitted to provide. Where legally permitted and reasonably practicable, Meliora may provide notice before responding.
36. Privacy
The ONE by Meliora Privacy Policy explains how information is collected, used, disclosed, protected and retained and should be read together with these Terms.
37. Changes to These Terms
Meliora may revise these Terms to reflect changes in the Platform, services, law, security practices or business operations. Updated Terms will be made available through appropriate channels and will state their effective date.
38. Electronic Communications and Notices
You agree that Meliora may communicate electronically concerning account administration, event operations, security, service changes and other matters relating to ONE.
39. Governing Law and Dispute Resolution
These Terms are intended to be governed by the laws of India, subject to mandatory legal protections. Subject to any mandatory alternative forum required by law, disputes relating to these Terms or ONE will be subject to competent courts in Ranchi, Jharkhand, India. Before formal proceedings, the parties should make a reasonable effort to resolve the matter through Meliora's support contact.
40. No Partnership or Agency
Use of ONE does not create a partnership, joint venture, employment, franchise, fiduciary or agency relationship between Meliora and a User merely because the User accesses the Platform. Any separate event-management relationship is governed by the applicable commercial arrangement.
41. Assignment
You may not transfer rights or obligations under these Terms without Meliora's prior written consent, except where required by law. Meliora may assign these Terms as part of a restructuring, merger, acquisition or transfer of relevant assets, subject to law.
42. Severability and Waiver
If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
43. Entire Agreement and Survival
These Terms, the Privacy Policy and any separate written commercial or event-management agreement applicable to a Customer form the applicable agreement governing use of ONE. Provisions concerning intellectual property, confidentiality, data handling, liability, indemnification, dispute resolution and other provisions that by nature should survive will continue after access ends.
